Capital Market and Securities Authority

The Capital Markets and Securities Authority (CMSA in collaboration with stakeholders has developed draft Capital Markets and Securities (Private Equity and Venture Capital) Regulations, 2024; and Capital Markets and Securities (Regulatory Sandbox) Regulations 2024. The Guidelines have been drafted taking regard of the principles and guidelines promulgated by various international bodies.

The draft Regulations are expected to provide guidance, manage market risks and build confidence of investors, market players’ and contribute to the development of long-term finance in Tanzania. The Regulations are particularly intended to achieve amongst other the following objectives-

a)Provide guidance for establishment and operation of private equity, venture capital business undertaking and regulatory sandbox in the United Republic of Tanzania;

b)Regulate venture capital business including equity and debt securities within the United Republic of Tanzania;

c)Bridge the information and expectation gap between the Authority and innovators for effective collaboration towards a robust, resilient and inclusive financial services;

d)Promote innovation in capital markets and increase the potential for innovative business models that enhance financial deepening and inclusion;

e)Enhance overall start up and innovation ecosystem to drive economic growth; and

f)Widening the scope of financing through diversification of financial products and enhancement of market liquidity.

As one of the key stakeholders in the capital markets, you are requested to review the draft Regulations and avail your written comments to CMSA on or before 20^th September 2024 to enable CMSA progress the draft Regulations to the next stages.
